Terms of Service
These Terms govern access to Meridian's API, SDK, and related moderation infrastructure services.

Acceptance of Terms
By accessing or integrating with Meridian's API, SDK, or any related services (collectively, the "Service"), you ("Platform Partner" or "End User") agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service.
These Terms apply to both (a) platform partners and developers who integrate Meridian's moderation infrastructure into their products, and (b) end users of platforms that have deployed Meridian-powered services. Different obligations may apply to each category as specified herein.
Meridian reserves the right to update these Terms at any time. Continued use of the Service following notification of changes constitutes acceptance of the revised Terms.

Description of Service
Meridian is a real-time, AI-powered text understanding and content moderation infrastructure system. The Service provides:
Meridian is a backend decision-infrastructure layer. It is not a consumer-facing product, chatbot, or general-purpose AI assistant. Meridian generates signals and classifications; final moderation decisions and enforcement actions remain the sole responsibility of the integrating platform.
- Multi-label content classification across safety-relevant categories including, but not limited to: sexual content, hate speech, toxicity, crisis signals, and evasion or obfuscation attempts.
- Text embedding and semantic similarity analysis for pattern detection and clustering.
- Structured risk scoring and signal generation for downstream moderation decisions.
- API access for platform integration.

Eligibility & Permitted Use
To use the Service as a Platform Partner, you must: (a) be a legal entity or individual of lawful age in your jurisdiction; (b) have authority to bind your organization to these Terms; and (c) operate a lawful platform subject to applicable content moderation requirements.
Permitted uses include integrating Meridian's classification and moderation signals into online platforms, social applications, gaming environments, community tools, and enterprise communication systems for the purpose of detecting and acting on harmful, evasive, or policy-violating content.
You may not use the Service to: (i) circumvent, reverse-engineer, or probe Meridian's classification models for adversarial purposes; (ii) generate training data intended to defeat content safety systems; (iii) facilitate harassment, illegal surveillance, or discrimination; (iv) resell or sublicense raw API access to third parties without prior written authorization; or (v) use the Service in any manner inconsistent with applicable law.

Input Data & Content
Platform Partners are solely responsible for ensuring that text and metadata submitted to the Service complies with applicable law and their own platform policies. You represent and warrant that you have all necessary rights, consents, and authorizations to submit input data to Meridian for processing.
Input may include: raw message content, username and display name metadata, biographical profile data, and computed obfuscation signals. Meridian processes this structured input solely to generate classification signals. Meridian does not retain submitted content beyond the minimum period required for real-time inference and logging.
You acknowledge that Meridian's classifications are probabilistic in nature and may contain errors. You agree not to take irreversible legal or punitive action against individuals based solely on Meridian's output without additional human review where appropriate.

API Access & Rate Limits
Access to the Meridian API is granted subject to the tier, rate limits, and throughput allocations specified in your service agreement or accepted at registration. Meridian is engineered for high-throughput, low-latency environments and is capable of processing thousands of requests per second at applicable tiers.
You agree not to: (a) exceed allocated rate limits; (b) implement technical measures to circumvent rate limiting or access controls; (c) share API credentials with unauthorized parties; or (d) use the API in ways that materially degrade service availability for other customers.
Meridian reserves the right to throttle, suspend, or terminate API access for violations of these Terms or for usage patterns that threaten system stability, without prior notice where necessary to protect service integrity.

Intellectual Property
All components of the Service, including but not limited to the underlying models, classification architectures, embedding systems, inference pipelines, APIs, and documentation, are the exclusive intellectual property of Meridian and its licensors, protected under applicable copyright, trade secret, and intellectual property law.
These Terms do not transfer any ownership interest to you. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely as described herein.
Classification outputs and API responses generated by the Service for your submitted inputs are provided to you for use in your moderation workflows. Meridian retains all rights in the underlying models and methodologies that produce such outputs.

Confidentiality
Both parties may receive access to confidential information of the other in connection with the Service. Each party agrees to maintain the confidentiality of the other's non-public information using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care.
Confidential information of Meridian includes: model architectures, training methodologies, internal system design, classification label definitions, pricing structures, and non-public technical documentation. You agree not to disclose, reverse-engineer, or use Meridian's confidential information for any purpose beyond the permitted use of the Service.

Disclaimers & Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." MERIDIAN MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
MERIDIAN DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; (B) CLASSIFICATION OUTPUTS WILL BE ACCURATE, COMPLETE, OR FREE FROM FALSE POSITIVES OR FALSE NEGATIVES; OR (C) THE SERVICE WILL MEET YOUR SPECIFIC MODERATION REQUIREMENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MERIDIAN'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL MERIDIAN BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Termination
Either party may terminate these Terms upon written notice if the other party materially breaches any provision and fails to cure such breach within thirty (30) days of receiving written notice.
Meridian may immediately suspend or terminate your access to the Service if: (a) you violate Section 03 (Permitted Use); (b) your usage poses a security or legal risk to the Service or other users; (c) required by law or regulatory authority; or (d) your account becomes delinquent.
Upon termination, your right to access the Service immediately ceases. Sections relating to intellectual property, confidentiality, disclaimers, limitation of liability, and governing law survive termination.

Governing Law & Disputes
These Terms are governed by and construed in accordance with applicable law. Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If unresolved within thirty (30) days, disputes shall be submitted to binding arbitration in accordance with established commercial arbitration rules.
Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or confidential information.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
